5. USER CONTENT AND CONDUCT

By submitting, posting, or displaying User Content, you grant Novuxe a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content.
5.2 Prohibited Content and Conduct
You agree not to use the Services to:
- Violate any applicable law or regulation
- Infringe the rights of any third party
- Submit, post, or transmit Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
- Transmit any viruses, worms, defects, Trojan horses, or other destructive code
- Interfere with or disrupt the Services or servers or networks connected to the Services
- Attempt to gain unauthorized access to the Services or other accounts, computer systems, or networks
6. INTELLECTUAL PROPERTY RIGHTS
6.1 Novuxe Content
The Services and all Content, features, and functionality thereof, including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof, are owned by Novuxe, its licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
6.2 License to Use Services
Subject to these Terms, Novuxe grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes.
7. PAYMENT TERMS
7.1 Fees and Billing
Certain aspects of the Services may require payment of fees. All fees are stated in Naira and are non-refundable unless otherwise specified. You agree to pay all applicable fees and taxes in connection with your account.
7.2 Subscription Services
For subscription-based Services, you will be billed in advance on a recurring basis, depending on the subscription plan you select. Subscription fees are non-refundable for the billing period in which you cancel.
7.3 Changes to Fees
Novuxe reserves the right to change its fees and billing methods at any time. We will provide notice of any price changes at least 30 days before they become effective.
8. TERMINATION
8.1 Termination by You
You may terminate your account at any time by contacting us at [contact email] or by following the instructions in your account settings.
8.2 Termination by Novuxe
Novuxe reserves the right to suspend or terminate your access to the Services, including any accounts, at any time for any reason without notice or liability.
8.3 Effect of Termination
Upon termination, your right to use the Services will immediately cease, and Novuxe may delete or remove your User Content without notice.
9. DISCLAIMERS AND LIMITATIONS OF LIABILITY
9.1 Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
9.2 Limitation of Liability
IN NO EVENT SHALL NOVUXE, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES;
- ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES;
- ANY CONTENT OBTAINED FROM THE SERVICES; AND
- UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
9.3 Limitation Amount
IN NO EVENT SHALL NOVUXE’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU TO NOVUXE DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
10. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Novuxe, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Services.
11. GOVERNING LAW AND DISPUTE RESOLUTION
11.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law provisions.
11.2 Dispute Resolution

12. MODIFICATIONS TO TERMS
Novuxe reserves the right to modify these Terms at any time. We will provide notice of any material changes through the Services or by other means. Your continued use of the Services after such modifications will constitute your acknowledgment of the modified Terms and agreement to abide and be bound by them.
13. GENERAL PROVISIONS
13.1 Entire Agreement
These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and Novuxe concerning the Services.
13.2 No Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Novuxe’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
13.3 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
13.4 Assignment
These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you without Novuxe’s prior written consent but may be assigned by Novuxe without restriction.
14. ADDITIONAL TERMS FOR SPECIFIC SERVICES
Additional terms may apply to specific Services. Such additional terms will be made available with the relevant Services and will form part of these Terms.
15. FORCE MAJEURE
Novuxe shall not be liable for any failure or delay in performance under these Terms for causes beyond our reasonable control, including but not limited to, acts of God, acts of government, flood, fire, earthquakes, civil unrest, acts of terror, strikes or other labor problems, or Internet service provider failures or delays.
